Terms of Service

1. Who Can Use Arkvon

To use Arkvon, you must:

• Be at least 18 years old, or the age of majority in your jurisdiction.
• Have the legal authority to enter into a binding agreement.
• Be authorized to connect and manage any Stripe account or other third party accounts you connect to the Service.
• Comply with all applicable laws and regulations.

2. Accounts & Access

You agree to provide accurate and complete information when creating your account. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activities that occur under your account.
• Keeping your account information up to date.

Arkvon may suspend or terminate accounts that violate these Terms or abuse the Service.

3. Subscription & Billing

Certain features of Arkvon require a paid subscription. By subscribing, you authorize Arkvon to charge your selected payment method on a recurring basis until your subscription is cancelled. Unless otherwise stated:

• Subscription fees are billed in advance.
• Subscription fees are nonrefundable except where required by law.
• You may upgrade, downgrade, or cancel your subscription at any time.
• Downgrades or cancellations take effect at the end of the current billing period.
• Prices may change in the future, and we will provide reasonable notice before any changes take effect.
• Applicable taxes may be added where required by law.

If payment cannot be processed, we may suspend access to paid features until payment is successfully completed.

4. Acceptable Use

You agree not to:

• Use Arkvon for illegal, fraudulent, deceptive, or abusive activities.
• Attempt to gain unauthorized access to the Service or other user accounts.
• Upload malware, viruses, or other harmful software.
• Reverse engineer, copy, or attempt to exploit the platform except as permitted by law.
• Use automated bots, scraping tools, or automated data collection without our written permission.
• Circumvent security measures or interfere with the operation of the Service.
• Infringe upon the intellectual property rights of others.

5. Affiliate Programs

Arkvon provides infrastructure that enables SaaS businesses to operate affiliate programs. Merchants are solely responsible for:

• Commission structures
• Affiliate approval
• Commission eligibility
• Affiliate payouts
• Tax compliance
• Compliance with applicable laws

Disputes regarding commissions, payouts, affiliate relationships, or program rules are solely between the merchant and the affiliate. Arkvon may provide technical assistance or account information but is not responsible for resolving such disputes.

6. Stripe & Third Party Services

Arkvon integrates with third party services, including Stripe, to provide certain functionality. By connecting your Stripe account, you authorize Arkvon to access information necessary to provide the Service. Your use of third party services is governed by their respective terms and privacy policies. Arkvon is not responsible for outages, changes, failures, or actions of third party providers.

7. Payouts

Arkvon provides tools that assist merchants in preparing, managing, or automating affiliate payouts. Unless otherwise expressly stated:

• Merchants remain solely responsible for paying affiliates.
• Merchants are responsible for verifying payout information before sending payments.
• Arkvon is not responsible for failed transfers, incorrect payout information, delayed payments, or disputes between merchants and affiliates.

8. Intellectual Property

The Service, including its software, design, branding, logos, trademarks, documentation, and content, is owned by Arkvon Technologies and protected by applicable intellectual property laws. These Terms grant you a limited, nonexclusive, nontransferable right to use the Service in accordance with these Terms. No ownership rights are transferred to you.

9. Privacy

Your use of Arkvon is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

10. Beta Features

From time to time, Arkvon may provide beta, preview, or experimental features. These features:

• May change or be discontinued at any time.
• May contain bugs or incomplete functionality.
• Are provided without any guarantee of continued availability or support.

11. Account Suspension & Termination

You may stop using Arkvon or close your account at any time. Arkvon may suspend or terminate access if you:

• Violate these Terms.
• Engage in fraudulent or abusive activity.
• Create security risks for the platform or other users.
• Fail to pay applicable subscription fees.

Certain information may be retained where required by law or for legitimate business purposes.

12. Disclaimer

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Arkvon makes no warranties, express or implied, regarding the availability, reliability, accuracy, or fitness of the Service for a particular purpose.

13. Limitation of Liability

To the fullest extent permitted by law, Arkvon shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

• Lost profits
• Lost revenue
• Lost business opportunities
• Business interruption
• Data loss
• Missed affiliate commissions
• Delayed or failed payouts

Our total liability arising from these Terms shall not exceed the amount you paid to Arkvon during the twelve (12) months preceding the event giving rise to the claim.

14. Force Majeure

Arkvon shall not be liable for delays or failures caused by events beyond our reasonable control, including but not limited to:

• Internet outages
• Natural disasters
• Government actions
• Labor disputes
• Cyberattacks
• Power failures
• Failures of third party providers such as Stripe

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice through the Service or by other appropriate means. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles. Any legal action arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Ohio, and you consent to the jurisdiction of those courts.
